*Affiliate Agreement Overview*
This agreement is made between *iMATRiX Inc., owner of **iM Social, and any affiliate partner. By agreeing to this, affiliates gain access to the use of **iM Social* apps and acknowledge the terms outlined below.
### Key Terms & Responsibilities
1. *Affiliate Obligations*:
– Actively promote *iM Social* and facilitate user engagement, including the download and use of features such as the *Blocked User Proximity Alert (BUPA)*.
– Adhere to ethical and legal standards in all promotional activities, ensuring no misleading practices.
– Utilize marketing materials provided by *iMATRiX Inc.* responsibly.
2. *Profit Sharing*:
– Affiliates will receive *80%* of profits from app-related activities, with *iMATRiX Inc.* retaining *20%*.
– Affiliates earn from in-app activities like identity verifications ($7.77 per verification, increasing to $9.99 when automated verification is introduced), streaming, and other purchases.
3. *Intellectual Property*:
– *iMATRiX Inc.* retains all rights to its proprietary features, including the *Blocked User Proximity Alert (BUPA)* and the *world’s first app network* that allows users to explore and connect across multiple apps within the network.
– Affiliates agree not to copy, replicate, or distribute any part of these features outside the *iM Social* platform.
– A non-exclusive, limited license is granted to affiliates for the use of branding for promotional purposes only.
4. *App Management*:
– Affiliates are responsible for ensuring their app content aligns with community standards. Explicit, racist, or bullying content will be met with warnings, and repeated offenses could lead to app removal after the third warning.
– Dormant apps (inactive for *30 days) will be given notice, with potential removal after an additional **30 days* of inactivity.
5. *Exclusivity & Non-Compete*:
– Affiliates acknowledge that *iM Social’s* unique features, including the app network and BUPA, are exclusive to *iMATRiX Inc.* and cannot be recreated or utilized outside of the platform.
– Affiliates shall not engage with competing services during the term of this agreement and for *12 months* following its termination.
6. *Payment & Reporting*:
– Monthly payments will be issued within *15 days* of the month’s end.
– Affiliates will receive monthly reports on app activity and corresponding earnings.
### General Terms
– *Confidentiality: Affiliates must safeguard any non-public information related to **iMATRiX Inc.* and *iM Social*.
– *Governing Law: This agreement is governed by the laws of **Florida, with disputes resolved in **Orlando, FL*.
– *Dispute Resolution*: Mediation will be attempted first for any disputes, followed by binding arbitration if needed.
– *Force Majeure*: Neither party is liable for performance delays caused by uncontrollable events.
### Agreement Renewal & Modification
– Valid for *12 months*, with renewal possible unless there is a breach of terms.
– Modifications must be made in writing and signed by both parties.
